Energy

Legal advice for energy developers, utilities, suppliers, investors and large energy users.

Gracen Law provides energy legal advisory in Kenya for developers, utilities, suppliers, investors and major users. We help you identify the legal conditions behind an investment, supply commitment or operating change and turn the review into specific contract and transaction decisions.

Legal advisory for your sector

Energy businesses need arrangements that connect investment, generation or supply, access to infrastructure and a sustainable revenue model. A strong commercial proposition can become difficult to execute if the project company, authorisations, supply obligations or customer agreements do not work together. Gracen Law helps clients assess these dependencies and document their transactions with a clear allocation of responsibility.

Our energy work addresses conventional and mixed energy businesses, utilities, supply chains and major users. Renewable energy has a dedicated child page for clean generation and storage projects. This energy page brings together the wider questions of development, market participation, supply reliability, investment and operations across the energy value chain.

Technical Expertise

01

Energy development and market participation

We advise on the legal structure supporting an energy business, including project entities, investment arrangements, asset access and the sequence of regulatory decisions. The review examines the planned activity, the parties responsible for delivery and the documents on which the project depends. It also considers how changes in ownership, capacity or operating model may affect existing obligations.

Before a substantial commitment, clients need to understand which matters can be resolved contractually and which require an approval, technical confirmation or a decision by another party. We help organise those dependencies into a workable transaction plan.

02

Offtake, supply and infrastructure agreements

Revenue and supply agreements should reflect the actual operation. We review energy purchase and supply terms, connection arrangements, fuel and equipment procurement, service contracts and operation and maintenance documentation. The legal work addresses delivery and payment obligations, performance standards, interruptions, liability, security and the consequences of default.

Where several contracts support one asset, we examine how dates, remedies and responsibilities align. A developer should not accept an unconditional delivery promise while its infrastructure access remains uncertain. A buyer should understand the protections available if expected capacity, quality or continuity is not achieved.

03

Investment, finance and operational change

Energy transactions require an examination of the asset, regulatory position, commercial contracts and financing commitments. We support acquisitions, shareholder arrangements, funding documentation, lender review and security structures. Due diligence can identify conditions that need to be resolved before completion and obligations that continue afterwards.

For an operating business, we advise on refinancing, contract amendments, supplier problems, restructuring and disputes. A proposed change should be tested against consent requirements, existing covenants and the ability to maintain essential operations. Our role is to connect the legal documents to the business decision being made.

Engagement pathways

Choose how to engage

01

Energy Transaction Review

Assess an investment, acquisition, funding proposal or material contract before agreeing binding terms. Your scoped review can deliver a due diligence issues note, a list of required consents and completion conditions, and recommended changes to the investment or funding documents. It is suited to a buyer, sponsor or lender preparing for a decision.

02

Supply and Offtake Assessment

Review payment, delivery, performance, interruption and termination provisions against the intended operating model. The mandate can deliver annotated supply or offtake terms and a negotiation brief covering delivery, measurement, payment security, interruption and exit. Where several contracts depend on one another, we identify provisions that need to be aligned.

03

Development and Compliance Planning

Map the project’s legal dependencies and responsibilities from development into operation.

The work can deliver a register of legal dependencies, responsible parties and supporting documents, together with a proposed sequence for outstanding decisions. This gives a development or operations team an agreed basis for coordinating the legal work.

Questions

Frequently Asked Questions

How is this page different from renewable energy advice?

This page addresses the wider energy value chain, including utilities, conventional energy activities, supply and major users. The renewable energy page focuses on clean generation, storage and associated project arrangements. A mandate may involve both, and its scope can be coordinated around the client’s actual business model.

What should be reviewed before signing an energy supply agreement?

Important points include the supply specification, delivery obligations, metering and evidence, pricing, payment security, interruptions, liability and termination. The review should also identify who controls the underlying infrastructure and whether the agreement depends on an outstanding approval or technical milestone.

Can you assist with an investment into an operating energy business?

Yes. A transaction review can examine ownership, assets, authorisations, material contracts, financing obligations and identified disputes. Findings should inform the price discussions, completion conditions, warranties and continuing obligations. The precise scope depends on the investment structure and the information available.

How are project delays addressed in energy contracts?

Contracts can allocate responsibility for particular causes of delay, specify notice and evidence requirements, and establish remedies or extensions. The critical point is consistency across the project documents. A construction extension may not automatically extend an energy delivery obligation or a financing deadline.

What documents should we provide for an initial review?

Provide a business or project summary, the proposed transaction, relevant ownership information, available approvals, key supply or revenue agreements and financing terms. Explain the decision deadline and any known operational constraint. We can then agree a focused review and the next information requirements.
