U.S. Legal Support and International Structuring

Assess the structure before you form the entity or sign the international commitment.

Connect an African business or investment with the international structure it needs. Gracen Law supports founders, companies and investors considering U.S. establishment, investment platforms, international holding arrangements and cross-border commercial relationships, coordinating relevant advisers around a defined mandate.

Legal Advisory for Cross-Border Decisions

A U.S. company or international holding structure may be proposed for fundraising, customers, investment ownership or a wider growth platform. Before implementation, the decision needs to be tested against the business purpose, existing group and responsibilities the structure will create. Formation alone does not settle funding, banking, governance, tax, contractual or continuing reporting questions.

We assess the proposed arrangement as part of the wider business or investment. The work connects African ownership, operations and assets with the intended U.S. or international structure, identifying the relevant legal documents and specialist input. Where advisers in different markets contribute, the mandate should make their responsibilities and the dependencies between workstreams clear.

Technical Expertise

01

U.S. Establishment and Business Relationships

Assess the purpose of a proposed U.S. entity and its relationship with the existing African business or investors. The scope can consider company and ownership options, governance, investor documents and the contracts the entity is expected to sign. Where structures such as a Delaware corporation or limited liability company are proposed, the choice should be informed by the particular fundraising or operating objective and relevant specialist advice, rather than treated as a universal solution.

02

International Holding and Investment Structures

Review arrangements for holding business interests, investments or other assets across markets. We consider commercial purpose, beneficial ownership, decision authority, funding, reporting and the relationship between the structure and its underlying assets.

Relevant tax, corporate and regulatory advisers can be coordinated where their analysis is required. Lawful offshore or other international structures should be assessed with attention to transparency and continuing responsibilities, as well as formation and transaction documents.

03

Capital, Contracts and Continuing Governance

Connect the structure with capital raising, investment terms, intellectual property and customer or partner contracts. The documents should identify who owns the assets, receives funding, provides services and has authority to make commitments. Banking or payment-provider requirements need to be assessed separately on the actual business and provider criteria. Ongoing legal work can address corporate records, governance and changes in the business as investors, activities or markets evolve.

Technical resources and insights

Technical Resources

Resources on international company structures, founder and investor arrangements, commercial contracts and cross-border governance help frame the assessment. An entity choice should be tested against the facts of the business and advice from the relevant disciplines. International structures create continuing responsibilities; understanding those responsibilities is part of evaluating whether the arrangement serves the intended objective.

Engagement pathways

Choose how to engage

Begin with a U.S. or international structure assessment, an existing arrangement review or an investor and contract consultation. Share the commercial purpose, current ownership, target markets and proposed entity or transaction. We identify the legal work, documents and specialist coordination needed before implementation. Existing structures can be assessed for inconsistencies between their records, contracts and the actual business activity.

03

Investor and commercial documentation mandate

Align investment terms, intellectual property, customer contracts and group authority with the chosen structure and specialist advice.

Questions

Frequently Asked Questions

Is a Delaware corporation or LLC right for every African founder?

No single entity form serves every business. The appropriate option depends on the funding plan, ownership, customers, operations and markets connected to the structure. A review should consider investor expectations, governance and continuing responsibilities, with relevant corporate and tax advisers contributing before formation. A popular entity choice should still be tested against the particular business.

Can the engagement include U.S. advisers?

Yes. Relevant advisers can be coordinated for work required in the United States or other markets. The engagement should identify who is responsible for each legal or specialist component and how the teams will exchange information. This allows the African business and its owners to assess the wider arrangement with clearer accountability for the workstreams involved.

Can you help with international holding or offshore structures?

The assessment can review lawful international holding and investment arrangements against their commercial purpose, ownership, assets, governance and reporting responsibilities. Tax and other specialist advice may be essential to the choice. The work should also consider how the arrangement interacts with the existing business and relevant markets, rather than evaluating formation in isolation.

Does setting up an entity guarantee banking or payment access?

Banking and payment arrangements depend on the provider's requirements and assessment of the actual business, owners and activity. The legal structure and documents can be reviewed in that context, but formation should not be treated as a guarantee of approval. The engagement can identify provider-related documentation and the legal questions affecting the proposed commercial arrangements.

What if our international structure already exists?

A review can examine corporate records, ownership, governance, investor agreements, intellectual property and customer contracts against the business's current activity. It may identify gaps or inconsistencies that need correction before fundraising or expansion. The scope can then coordinate the relevant advisers and documents for restructuring, new investment or continuing legal support.
