Capital Raising and Financing Transactions

Cooperative and SACCO Financing

A cooperative's funding plan must work for its members as well as its lenders and partners.

A housing project, agricultural enterprise or SACCO growth programme can require different sources of capital, repayment arrangements and approvals. Gracen Law combines capital advisory and legal support to help your institution assess those choices, prepare a credible funding proposal and put the agreed transaction into effect.

We connect the financing objective with member interests, operating capacity and governance. The mandate can cover readiness, capital structuring, lender or partner engagement, negotiations and transaction documents, with responsibilities agreed at the outset.

Choose a funding structure your institution can manage

Start with what the funds need to achieve: acquiring land, developing housing, purchasing equipment, improving processing capacity or supporting an approved investment. We examine the proposed use of funds, member commitments, cash flow and existing obligations. This helps distinguish the amount needed from the amount the institution can realistically service, and identifies assumptions that need further financial or technical review.

Cooperative and SACCO Financing

Our cooperative financing offering

01

Member capital and institutional funding

We help assess proposed member contributions alongside institutional debt and other funding options. The structure should explain who contributes, when payments are due, how funds may be used and how changing project costs affect members. We also prepare the information and negotiation priorities needed for discussions with prospective capital providers.

02

Housing and agricultural cooperative projects

For housing cooperatives, we examine land interests, development arrangements, member allocations and the funding timetable. Agricultural projects may depend on supply commitments, equipment, storage, processing or buyer contracts. We connect those operating arrangements with the financing documents so that payment obligations and project delivery responsibilities can be assessed together.

03

Blended funding and governance

Where appropriate, we assess how member capital, debt, grants or concessional funding could work together. Each source can carry different spending restrictions, repayment terms and reporting requirements. We review the institution's decision-making authority, approval records and relevant requirements before commitments are made, including how the proposed structure affects member participation and oversight.

  • Funding needs assessment and preparation of a financing workplan.
  • Review of cash flow assumptions and capital options within the agreed advisory scope.
  • Member, board and other approval records relevant to the transaction.
  • Funding proposals, term sheet reviews and negotiation support.
  • Facility, security, project and partner agreements, with a completion checklist.

From preparation to implementation

We begin with your project plan, financial records, governing documents, existing facilities and any funding offer. We identify missing information and agree which issues to resolve before approaching funders. The next stage can include refining the proposal, preparing the data room and coordinating discussions. Once terms are available, we review affordability, conditions, security and continuing obligations, then support approvals, documentation and completion.

The advisory mandate can also include financial modelling and funding scenarios to assess repayment capacity, growth assumptions and alternative capital mixes. We map relevant lenders, development finance institutions and other capital providers, develop a funding pipeline and prepare engagement materials that reflect the cooperative's mandate and member interests.

Protect authority and member interests throughout the financing

We distinguish board authority, decisions reserved to members and approvals required before signing from records needed after completion. Governing documents and existing contracts shape that pathway. The facility review assesses repayment, covenants, guarantees, security, events of default, lender consent rights and the consequences for member interests, operational flexibility and future funding capacity.

Property, development and investment proposals can involve several organisations with different delivery responsibilities. Clear project and member-facing agreements connect those commitments with the funding. Continuing reporting and compliance duties are translated into internal responsibilities and governance records. Amendments, new borrowing and security releases are assessed against the institution’s approval and consent requirements.

Questions

Frequently asked questions

Can you support both housing and agricultural cooperatives?

Yes. We tailor the mandate to the project and institution. Housing financing may depend on land and development arrangements; agricultural financing may depend on production, supply and buyer commitments. We assess the actual funding requirement and supporting agreements rather than applying one model to every cooperative.

Can member contributions be combined with institutional funding?

Potentially, where the proposed terms and applicable requirements allow it. We review how contributions, repayment, security and approvals interact, including whether one source imposes restrictions on another. Financial assumptions and member commitments need to support the proposed structure.

Do you obtain funding approval for a cooperative or SACCO?

We support preparation, structuring and engagement within the agreed mandate. The capital provider decides whether to fund, on what terms and subject to which conditions. Our work does not guarantee approval or replace the institution's own governance decisions.

What should we bring to an initial consultation?

Bring a short project summary, the amount sought, financial records, governing documents and existing funding commitments. Include any member resolutions, offer letters or deadlines. We use these to define the review, identify gaps and agree the scope and fees.

When are member approvals relevant?

Member approval may be relevant where the governing framework or transaction requires it. The board should understand the scope of its authority and the decisions reserved elsewhere. We review those requirements alongside the proposed financing so that the approval record reflects the transaction being entered into.

Can financing be secured against cooperative assets?

The answer depends on the institution, the asset, existing commitments and the applicable approval requirements. A proposed security package should be reviewed before it is accepted. The review considers the scope of security, competing rights and the consequences for the institution if the funding obligations are not met.

How can the board monitor the financing after completion?

The agreement should be translated into a clear record of continuing obligations, key reporting dates and decisions requiring lender or institutional approval. We can assist with that legal obligations review and advise on proposed changes. Monitoring should reflect the institution’s governance arrangements and the specific funding terms.
