Capital Raising and Financing Transactions

Development, Credit and Blended Finance

Development capital can help finance businesses and projects whose objectives extend beyond commercial returns. Making different sources of capital work together requires a clear financial structure, credible impact proposition and aligned obligations. Gracen Law supports institutions with development finance positioning, blended finance design, financial modelling, funder engagement and the legal work needed to implement the proposed financing.

Align the capital structure with risk, return and impact

Commercial investors, development finance institutions, donors and public sector participants may assess the same opportunity differently. Their expectations can vary on repayment, returns, impact, governance, procurement and reporting. A workable structure must address these differences before commitments are made.

We assess which funding pathways fit the institution or project, how capital should be allocated and what conditions each participant may require. This work supports social enterprises, infrastructure and energy projects, cooperatives and other institutions pursuing development-focused capital across African markets.

Our development and blended finance services

01

Funding strategy and development finance positioning

We connect the funding objective with the business model, development purpose and proposed use of capital. We help articulate the investment case and assess readiness against relevant funder requirements.

  • Development finance institution and donor mapping, with engagement priorities.
  • Financial modelling, cash flow analysis and return frameworks.
  • Investment materials, impact narrative and due diligence preparation.
02

Capital stack and risk allocation

We design structures combining equity, debt, grants, concessional finance or public sector support where appropriate. The assessment considers funding costs, repayment priorities, loss allocation and the institution's ability to meet continuing obligations.

  • Capital stack options and scenario analysis.
  • Integration of donor funding and catalytic or concessional capital.
  • Public-private capital alignment and governance responsibilities.
  • Funding conditions, creditor priorities and future financing flexibility.
03

Documentation, negotiation and implementation

We support term sheet negotiations and prepare or review the investment, facility, grant and related agreements. We align approvals, security, reporting and conditions to funding across the transaction. For project mandates, this includes the relationship between financing documents and project contracts. Cross-border work is coordinated with the relevant local legal, regulatory, tax and technical requirements.

An engagement that continues beyond the funding proposal

We begin with the funding objective, proposed participants and transaction stage. The agreed mandate sets out the readiness work, financial analysis, capital structure and engagement plan. We then support funder discussions, negotiations, documentation and completion.

After funding, support can include investor and donor reporting systems, KPI frameworks, board documentation and compliance tracking. We also help institutions plan follow-on capital or amendments when the business, project or funding requirements change.

Development and credit financing documentation

We assess bilateral and coordinated facilities, including term loans, working capital and credit tied to a development objective. Pricing mechanics, repayment, availability conditions, covenants and lender discretion should fit the operating model. Environmental and social commitments, institutional controls and reporting can materially affect the funding. We review inconsistencies between term sheets, facility agreements and related documents, allocating technical, environmental and financial assessments to the responsible advisers.

Security, guarantees and group support require an assessment of each participating entity’s authority, approvals and exposure. Multiple funders need clear priorities, decision rights and consent requirements. We organise legal drawdown conditions, corporate approvals and completion records. After signing, advice can cover monitoring, extensions, amendments, waivers and operational changes requiring lender consent. A legal issues schedule sets out negotiation points and the documents needed to access and use funds.

Questions

Frequently asked questions

What is blended finance?

Blended finance combines funding with different financial expectations or development purposes within one structure. It may bring commercial debt or equity together with grants, concessional finance or public sector support. The proposed mix should address the funding need, risk allocation and conditions of each capital provider.

Can you help us approach a development finance institution?

Yes. An agreed mandate can cover DFI mapping, positioning, financial models, investment materials and engagement. We assess relevant requirements and prepare the institution for due diligence and negotiations. Each DFI applies its own eligibility criteria, assessment process and approval decisions.

Can grant funding sit alongside debt or equity?

Yes, where the grant conditions and other financing terms permit it. We assess restricted uses, payment timing, reporting, investor rights and repayment priorities. The financial structure and agreements need to show how the funding sources interact and who is responsible for each obligation.

Does your advisory guarantee access to development capital?

No. We help develop the funding case, engage appropriate capital providers and implement agreed transactions. Commitments remain subject to each funder's assessment, due diligence, approvals and available capital. The mandate defines our work and deliverables without promising a funding outcome.

How is development financing different from ordinary business credit?

Development financing may be linked to specified economic, social or project objectives and may include additional reporting or performance commitments. The distinction is determined by the funding documents. We examine both the financing terms and the associated requirements to understand the obligations the borrower or sponsor is accepting.

What are conditions to drawdown?

These are requirements that must be satisfied before the lender makes funds available, as specified in the agreement. They can concern corporate approvals, legal documents, security or other evidence. We help identify the legal conditions and organise completion so that avoidable documentation gaps do not delay access to funds.

Can a guarantee affect another group company?

Yes. A guarantee or related support obligation may expose an entity that does not directly receive the financing. The legal review considers authority, approvals, the scope of liability and the commercial rationale. Group relationships do not remove the need to assess each participating company’s position separately.

What should we do if a covenant may be breached?

Review the agreement and seek advice before the issue becomes more difficult to manage. The available response may involve clarification, remedial action or a consent or waiver request. We assess the relevant terms and help prepare a documented approach based on the business’s actual circumstances and proposed solution.
