Infrastructure

Infrastructure lawyers for sponsors, investors, contractors and operators developing essential assets.

Gracen Law provides infrastructure legal advisory in Kenya for sponsors, investors, contractors and asset owners. We help connect land access, procurement, financing, construction and operations so that the legal review supports the specific bid, investment or project decision before you.

Legal advisory for your sector

Infrastructure projects require decisions that hold together across a long delivery and operating period. Transport, logistics, utility, industrial and digital assets depend on land access, procurement, financing and a network of commercial agreements. The legal structure must show who bears each risk, how the project is paid and what happens if construction, demand or operating assumptions change.

Gracen Law advises on the legal framework for infrastructure development, investment, procurement and operations. We assist project sponsors, investors, contractors, service providers and asset owners with transaction structuring and coordinated documentation.

Our work connects the project’s commercial objectives to the rights, obligations and evidence needed to implement them.

Technical Expertise

01

Development, procurement and project structures

We examine the proposed asset, project entity, land or access rights, counterparties and procurement route. For privately sponsored developments, joint ventures and public-facing projects, the review identifies the legal dependencies that need to be addressed before binding commitments. We advise on bid structures, consortium documentation, governance and investment arrangements suited to the intended allocation of responsibility.

Where public procurement or a partnership model is involved, the legal work should follow the actual project documents and applicable requirements. A disciplined bid and transaction plan helps the team distinguish mandatory conditions from matters that remain open to negotiation.

02

Construction, interfaces and operational delivery

Infrastructure delivery often involves several contractors and suppliers working to different schedules. We review design and construction agreements, equipment procurement, performance security, service contracts and operation and maintenance arrangements. The work addresses scope, testing, handover, variations, delay, defects, liability, insurance and termination.

The interface between agreements is as important as the individual clauses. An asset owner needs to know who is responsible for a gap between design, equipment and construction.

An operator needs usable records, access, maintenance rights and a clear process for dealing with defects that remain after handover.

03

Revenue, financing and changes over the asset lifecycle

We advise on funding documents, security, lender review and the legal framework supporting the project’s revenue. A financing assessment considers the strength and dependencies of contracts, asset rights and counterparty commitments. Completion conditions should be capable of being evidenced, with a clear responsibility for resolving each outstanding matter.

Once an asset is operating, contract amendments, refinancing, ownership changes and disputes may affect the original risk allocation. We assist with the legal review of those changes, including consent requirements and continuing liabilities. The objective is to preserve a coherent framework while responding to the business’s current circumstances.

Engagement pathways

Choose how to engage

01

Infrastructure Investment Review

Assess an acquisition, development proposal or funding commitment against the asset’s legal dependencies. The mandate can deliver a legal due diligence issues note, unresolved asset and approval dependencies, and proposed investment or funding conditions. It helps an investor or sponsor understand the documents that support the project and the matters requiring resolution.

02

Procurement and Contract Assessment

Review bid requirements and delivery documents, with attention to the interfaces between counterparties. The assessment can deliver a bid requirements note, a review of consortium responsibilities and annotated delivery contracts. We distinguish mandatory tender conditions from negotiable terms and identify gaps between design, supply, construction and operating obligations.

03

Operational Change Review

Examine refinancing, amendments, supplier disputes or ownership changes affecting a live infrastructure asset. The review can deliver a consent and contractual procedures note, proposed amendments and an action plan for the identified change or dispute. We work from the live agreements, correspondence and project records to support the next decision.

Questions

Frequently Asked Questions

What kinds of infrastructure matters can be assessed?

A mandate can be scoped for transport, logistics, utility, industrial, property-linked or digital infrastructure. The starting point is the proposed asset and the client’s role. We then identify the land, procurement, financing, regulatory and commercial documents relevant to that particular project.

Why are contract interfaces important in a major project?

Different agreements can assign overlapping or inconsistent obligations. A delay under one contract may cause default under another, while a defect may sit between design, supply and construction responsibilities. An interface review identifies those gaps and helps establish responsibility, evidence requirements and a workable process for resolving them.

Can you support a consortium preparing a project bid?

Yes. The review can address bid requirements, consortium roles, contributions, exclusivity, governance, liability and arrangements if the bid succeeds or fails. The consortium documentation should reflect the proposed contracting model and avoid leaving critical commercial responsibilities to be resolved only after submission.

What does legal financing readiness involve?

It involves examining asset rights, project entities, approvals, revenue arrangements, key contracts and completion conditions. The review identifies legal issues that may need resolution before a funding decision or financial close. Engineering performance, demand forecasts and financial modelling remain separate inputs that should inform the wider assessment.

How can legal advice help after construction has started?

It can support notices, variations, extension requests, payment issues, defect management, contract interpretation and negotiations. Early review helps preserve evidence and follow the agreed contract procedures. The scope should be coordinated with the project manager and technical team so that advice reflects the circumstances on site.
