Business Transactions

Make the deal clear. Protect the terms that carry it into effect.

A business transaction should make clear what the parties are exchanging, which obligations they accept and how the arrangement will be implemented. Gracen Law advises businesses, investors and owners on transactions involving assets, operations, business interests and commercial collaborations. We help translate the proposed deal into legal terms that reflect its purpose and support a disciplined completion.

Understand the commitments before you accept the deal

Transactions are shaped by the nature of the assets or business, the parties’ priorities and the risks revealed during review. A simple commercial description can conceal difficult questions about ownership, consent, liability and ongoing responsibility. Our advisory examines those questions before the parties commit, then connects the agreed structure with the documents, approvals and delivery steps required to put it into effect.

Areas of focus

01

Transaction design and preliminary terms

We help assess the legal structure of the proposed transaction and review heads of terms, preliminary commitments and confidentiality arrangements. The work identifies what is intended to be binding, what remains subject to agreement and what information is needed for the next stage. Clear preliminary terms can prevent the negotiation from being built on conflicting assumptions.

02

Business and asset diligence

We review the relevant ownership records, contracts, asset rights, licences and disclosed liabilities within the agreed diligence scope. The objective is to identify matters that affect the transaction, price or risk allocation. Findings are prioritised so that the decision makers can address critical issues without losing sight of the commercial purpose of the deal.

03

Negotiation and definitive documents

The documents need to explain the transaction mechanics, payment, obligations, conditions, warranties and remedies in a coherent way. We support negotiation and prepare or review the definitive agreements. Where the transaction depends on several documents or counterparties, we assess the interaction between them so that completion is not undermined by inconsistent commitments.

04

Completion and continuing relationships

Completion may involve payments, transfers, consents, handover of records or new operational arrangements. We help organise the legal steps and document continuing responsibilities. Advice can address amendments or implementation issues after completion, particularly where the business relationship continues and the parties need a clear record of what was agreed.

Technical resources and insights

Technical resources

Explore resources on business transfers, commercial diligence, transaction warranties, conditions and completion arrangements. For your transaction, an issues list and completion record can clarify what remains outstanding and who must act. The level of legal review should reflect the value, complexity and risk of the matter rather than the length of the initial agreement.

Questions

Frequently asked questions

Is a business transaction always a share sale?

No. The transaction may involve assets, a business undertaking, ownership interests or a collaboration between existing businesses. The legal structure affects what moves, which liabilities remain and which consents are required. We assess the commercial objective before recommending the appropriate transaction documents.

Are preliminary terms legally binding?

That depends on their wording and context. Some provisions may create immediate obligations even where the main transaction remains subject to further agreement. We review confidentiality, exclusivity, costs and other preliminary commitments so that the parties understand what they are accepting before detailed negotiations begin.

How much diligence is needed?

The scope should reflect the transaction, the information available and the risks that matter to the client. It may focus on particular assets or extend across a business. We agree the review scope and report material issues in a form that supports a transaction decision and negotiation.

What if another party’s consent is required?

The requirement should be identified early and reflected in the transaction timetable and conditions. Contractual consents, approvals or third-party rights can affect completion. We help assess the relevant documents and structure the obligations so that the parties know what must be obtained before the transaction proceeds.

Can you support the transaction after signing?

Yes. Signing and completion may occur at different times, and obligations can continue afterwards. The engagement can include satisfaction of conditions, completion coordination, transfer records and defined post-completion matters. We agree the scope so that responsibility for each stage is clear.
