The Legal Problems Our Loresho Clients Face — Solved

Every day, individuals and businesses in Loresho face legal challenges that cost them time, money, and peace of mind. Here is how Gracen Law fixes them:

01

“Registering under a regime that was repealed in May 2024”

We register under the Public Benefit Organizations Act with the PBO Regulatory Authority, and advise on the position where the transition deadline was missed.

02

“Choosing a PBO when a trust or company limited by guarantee suits better”

We match the vehicle to the purpose, the funding model and who needs to control the organisation.

03

“Donor due diligence exposing governance gaps mid-grant”

Constitutions, trustee arrangements and reporting built to withstand a funder's scrutiny before the funder asks.

How do I register an NGO in Kenya now?

Registration is under the Public Benefit Organizations Act, 2013, which commenced on 14 May 2024 by Legal Notice 78 of 2024, with the PBO Regulatory Authority — not the former NGO Co-ordination Board, whose Act was repealed. Before registering it is worth confirming a PBO is the right vehicle at all: a company limited by guarantee or a trust may suit better depending on purpose, funding and control.

Our NGO did not transition under the PBO Act in time. What now?

The transition period for organisations registered under the repealed NGO Co-ordination Act ran to 13 May 2025 and has passed. Take advice on your current standing rather than assuming the old registration is unaffected — it bears on operating bank accounts, receiving donor funding and satisfying grant compliance conditions. This is generally resolvable, but better addressed proactively than during a donor's due diligence.

What is the difference between a PBO, a trust and a company limited by guarantee?

A PBO is registered with the PBO Regulatory Authority and is designed for public benefit activity, with governance and reporting obligations attached. A trust is registered through the Principal Registrar of Documents and suits asset-holding and endowment purposes. A company limited by guarantee is registered at the BRS under the Companies Act and offers familiar corporate governance. They differ materially in registration route, reporting burden and donor recognition.

In depth

Compliance & Regulatory Kenyan regulators have moved from issuing guidance to issuing penalties. The organisations being fined are not the ones that ignored the rules — they are the ones that assumed a policy document was the same as compliance.
